Terms and Conditions

Important: AE RÉSEAUX is a French company. These Terms and Conditions are governed exclusively by French law. In case of any discrepancy between this translation and the French version, the French version shall prevail.

Preamble

AE RÉSEAUX, operating under the trade name ADOPTE UNE CONCIERGERIE (hereinafter "the Concierge" or "AE RÉSEAUX"), is a fully independent company conducting its concierge activities according to its own methods, procedures, quality standards, and internal organization. AE RÉSEAUX freely defines its service commitments, pricing, partnerships, and strategic directions, without being affiliated to any franchise, network, or business group.

AE RÉSEAUX commits to conducting all its activities in strict compliance with French and European legislation in force, particularly regarding anti-money laundering and counter-terrorism financing (TRACFIN), personal data protection (GDPR), non-discrimination, and equal treatment.

Article 1 – Purpose – Definitions – Scope

1.1 Purpose

These general terms and conditions of sale (hereinafter "T&Cs") define the rights and obligations of AE RÉSEAUX operating under the ADOPTE UNE CONCIERGERIE brand (hereinafter "the Concierge") and its professional or consumer client (hereinafter "the Client") for concierge and property management services:

  • (i) Tourist Concierge: services for owners or managers of tourist accommodations (vacation rentals, holiday residences), including check-in/check-out management, cleaning, laundry, maintenance, reservation management, and guest reception;
  • (ii) Private Concierge: personalized services for individuals including daily assistance, home management, private event organization, lifestyle services, personal shopping, service coordination, and any daily life facilitation service;
  • (iii) Corporate Concierge: services for businesses, associations, and public or private organizations, including reception and hospitality, professional event organization, office concierge, employee services, facility management, and executive assistance.

1.2 Company Independence

AE RÉSEAUX is a fully independent company that applies its own working methods, quality standards, and organizational processes.

1.3 Acceptance

Any order implies full acceptance of these T&Cs by the Client. No special conditions may, without written acceptance by the Concierge, prevail over these T&Cs.

Article 2 – Regulatory Compliance – Anti-Money Laundering – Non-Discrimination

2.1 General Compliance Commitment

AE RÉSEAUX commits to conducting all its activities in strict compliance with French and European Union legislation. The Concierge categorically refuses to participate, directly or indirectly, in any illegal or unlawful activity.

2.2 Anti-Money Laundering and Counter-Terrorism Financing (TRACFIN)

In accordance with the French Monetary and Financial Code and anti-money laundering obligations, AE RÉSEAUX:

  • Refuses all cash payments, regardless of the nature or amount of the service;
  • Refuses all check payments, except with special authorization from management;
  • Implements appropriate vigilance procedures for client identification and detection of suspicious operations;
  • Reserves the right to make suspicious activity reports to TRACFIN when necessary.

2.3 Identity Verification – Required Documents

To ensure compliance with applicable regulations, the Concierge may require the following documents:

For individual clients:

  • Valid identity document (national ID card, passport, residence permit);
  • Proof of address less than 3 months old;
  • Any other document required by the nature of services.

For business clients:

  • Company registration extract (Kbis or equivalent) less than 3 months old;
  • Identity document of the legal representative;
  • Intra-community VAT number where applicable;
  • Professional liability insurance certificate.

Refusal to provide these documents authorizes the Concierge to refuse or suspend services.

2.4 Prohibition of Illegal Activities

The Concierge refuses to participate in any activity that is criminally punishable, contrary to public order, constitutes tax or social fraud, involves money laundering or terrorism financing, or harms human dignity.

2.5 Non-Discrimination – Equal Treatment

In accordance with French law and European directives, AE RÉSEAUX commits to:

  • Practice no discrimination based on origin, sex, family status, pregnancy, physical appearance, economic vulnerability, surname, place of residence, health status, disability, genetic characteristics, morals,sexual orientation, gender identity, age, political opinions, union activities, or religious beliefs;
  • Treat all clients, partners, and employees with dignity and respect;
  • Guarantee equal access to its services for all persons meeting contractual conditions.

LGBTQ+ Protection: The Concierge expressly commits to welcoming and serving all persons without distinction based on sexual orientation, gender identity, or gender expression, in accordance with values of inclusion and respect for diversity.

Article 3 – Quotes – Orders – Modifications/Cancellations

3.1 Quotes/Contract

Services are subject to a quote or contract specifying the nature of services, locations, prices, billing basis, and any special conditions. Unless otherwise stated, offers are valid for three (3) months.

3.2 Contract Formation

The order becomes final upon written confirmation from the Concierge.

3.3 Modification/Cancellation by Client

Any request must be received at least 3 calendar days before the start of services. After this deadline, the Concierge may refuse modification/cancellation; in this case, the full price remains due.

Article 4 – Specific Provisions by Concierge Segment

4.1 Tourist Concierge

The property owner client remains solely responsible for compliance with all applicable regulations regarding tourist accommodation rental.

4.2 Private Concierge

The private concierge offers a complete range of services adapted to individual needs: home management, daily assistance, event organization, service coordination.

4.3 Corporate Concierge

Corporate concierge offers services adapted to professional needs: reception, event organization, office concierge, employee services.

Article 5 – Pricing – Fees – Surcharges

5.1 Pricing Basis

Services are billed based on unit rates or packages stated in the quote/contract.

5.2 Sunday, Night, and Holiday Surcharges

  • Sunday: +10% for any hour worked on Sunday;
  • Night: +20% for any hour worked between 9pm-6am;
  • Public holidays: +100% for any hour worked on a public holiday.

Article 6 – Billing – Payment Methods

6.1 Billing Methods

AE RÉSEAUX offers different billing methods:

  • Post-service billing: Invoice issued after completion of services.
  • Scheduled billing: For recurring contracts, billing on a predefined schedule.
  • Advance payment / Deposit: The Concierge may require a deposit before service commencement.

6.2 Accepted Payment Methods

AE RÉSEAUX exclusively accepts the following payment methods:

  • Credit/debit card: Visa, Mastercard, American Express;
  • Bank transfer: SEPA or international;
  • Direct debit: for recurring contracts, with prior authorization.

⚠️ REFUSED PAYMENT METHODS

In compliance with anti-money laundering obligations, AE RÉSEAUX categorically refuses all cash payments and all check payments.

Article 7 – Subcontracting – Service Providers – Staff

7.1 Use of Service Providers and Subcontractors

For service delivery, AE RÉSEAUX may engage external service providers, specialized subcontractors, or salaried staff. The choice of these parties is at the sole discretion of the Concierge, who guarantees their competence and professionalism.

7.2 Confidentiality Obligations

All service providers, subcontractors, and employees working on behalf of AE RÉSEAUX are bound by strict confidentiality obligations. This confidentiality obligation continues for five (5) years after the end of the relationship.

7.3 Non-Competition and Non-Solicitation Clauses

All service providers, subcontractors, and collaborators of AE RÉSEAUX are bound by:

  • A non-competition clause: prohibiting directly or indirectly engaging in competitive activities;
  • A non-solicitation clause: prohibiting soliciting, hiring, or engaging clients, prospects, partners, employees, or subcontractors of AE RÉSEAUX for a period of 48 months (four years)following the end of the relationship.

Article 8 – Access to Premises – Keys – Security

The Client ensures that premises are accessible and secure, and provides all necessary written instructions.

Article 9 – Client Obligations

The Client commits to respecting all applicable laws and regulations and to provide all required supporting documents.

Article 10 – Right of Withdrawal (Consumer Clients)

For distance contracts, consumer clients have a 14-day withdrawal period from the contract conclusion date.

Article 11 – Consumer Mediation

Consumer clients may freely access a consumer mediator for amicable dispute resolution.

Article 12 – Liability – Insurance – Limitations

The Concierge is bound by an obligation of means. Total cumulative liability is limited to 30% of the order amount excluding tax.

Article 13 – Force Majeure

Neither party shall be liable for failure due to force majeure events.

Article 14 – Intellectual Property

Trademarks, logos, documents, methods, and content produced by the Concierge remain its intellectual property.

Article 15 – Personal Data – Confidentiality

The Concierge processes personal data in compliance with GDPR. Data subjects have rights of access, rectification, erasure, limitation, opposition, and portability.

Article 16 – Non-Solicitation Clause

The Client shall not, during the contract and for 12 months thereafter, hire or solicit any employee or collaborator of the Concierge. Violation results in penalty payment of twelve (12) months gross salary with a minimum of €4,000 excluding tax.

Article 17 – Lawful Use of Accommodations

Accommodations managed by the Concierge may only be used for lawful purposes. Criminal activities, prostitution, and harmful activities are strictly prohibited.

Article 18 – Protection of Persons – Staff

The Concierge commits to strict compliance with the French Labor Code and applicable regulations.

Article 19 – Prohibition of Phone/Camera Use on Premises

For security and confidentiality reasons, personal phone or image capture device use is prohibited during interventions.

Article 20 – Staff Confidentiality Clause

All Concierge staff are bound by strict confidentiality obligations lasting five (5) years after service cessation.

Article 21 – Termination

In case of serious breach not remedied within 15 days of formal notice, the other party may terminate the contract immediately.

Article 22 – Applicable Law – Jurisdiction

🇫🇷 AE RÉSEAUX is a company incorporated under French law, registered in France. All contractual relationships are exclusively governed by French law.

22.1 French Company – French Law. AE RÉSEAUX is a Simplified Joint Stock Company (SAS) under French law, registered with the Strasbourg (France) Trade and Companies Registry. Consequently, these T&Cs and all contracts concluded with AE RÉSEAUX are exclusively governed by French law, to the exclusion of any other national or international legislation, including international conventions such as the Vienna Convention on Contracts for the International Sale of Goods.

22.2 Contract Language. These T&Cs are drafted in French. In case of translation, only the French version shall prevail.

22.3 Amicable Settlement. In case of dispute, parties shall seek an amicable solution. Failing agreement within 3 months, jurisdiction rules below apply.

22.4 Jurisdiction – Business Clients. For all disputes involving business clients, exclusive jurisdiction is attributed to the courts of Strasbourg (France), including for emergency proceedings and interim measures.

22.5 Jurisdiction – Consumer Clients. Consumer clients may choose the territorially competent jurisdiction under French procedural law or the jurisdiction of their domicile at contract conclusion.

22.6 Enforcement of Decisions. Parties acknowledge the competence of French courts to render enforceable decisions throughout the European Union pursuant to Regulation (EU) No. 1215/2012.

Article 23 – Final Provisions

The invalidity of any clause does not affect the validity of others. Failure by the Concierge to exercise a right does not constitute waiver. T&Cs may be updated; the applicable version is that in force at order date.
